Terms of Service
These terms govern your use of Udyogya, the manufacturing ERP provided by Anarpakaya at merp.udyogya.com. By signing up, signing in, or paying an invoice, you agree to them on behalf of your company.
1. The service
Udyogya is software provided over the internet: production, inventory, purchasing, sales, quality, maintenance, attendance, payroll and double-entry books, in one system, for one company and its plants. We provide it as it stands today, together with the improvements we ship over time. Features may be added, changed or withdrawn; we will not remove something you depend on without telling you first.
The software helps you keep records and computes figures from them. It is not an accountant, an auditor, a lawyer or a labour-law adviser, and it does not file anything on your behalf. Every statutory return, payment and declaration remains yours to check and to file.
2. Your account, and the activation call
- You may sign up yourself. Your workspace opens immediately for setup — your plants, people, roles and item masters — and the rest of the product unlocks after a short activation call. That call exists so somebody who can answer questions has spoken to you before your factory depends on us.
- You are responsible for who you give a login to and what permissions they carry. Inside your company, nobody can grant a permission they do not hold themselves.
- Keep credentials confidential. Tell us at once if you believe an account has been compromised. You are responsible for what is done through your accounts.
- You confirm that you are authorised to accept these terms for your company, and that the information you give us is true.
3. Free trial
New companies get a free trial of 30 days, with no card and no commitment. If you have not paid by the end of it, your account becomes read-only: every screen still opens and every figure you entered is still there, but nothing new can be saved until you subscribe. We do not delete your data when a trial ends.
4. Fees, and how they are worked out
Pricing is metered, not tiered: a platform fee per plant per month, with a number of active users included per plant and pooled across your company, plus a fee for each further block of active users. Your own price, worked out with your numbers, is always visible inside the product on Settings → Billing.
- Active users only. Deactivating someone who has left stops them counting from that moment.
- Monthly, in advance, or a year at once for the price of 11 months.
- Taxes are extra where they apply, and are shown separately on every quotation and invoice.
- If we have agreed a specific price or discount with you for a period, that agreed price is what you are charged for that period, and it is shown on your billing page and on your documents.
- We may revise list prices with at least 30 days' notice. A price already agreed with you for a period holds for that period.
- A quotation is valid for 15 days from issue.
When a paid period ends, you keep full access for a grace period of 7 days so a transfer has time to clear. Grace days are not free days: a payment made during them runs from the date the last period ended, so paying late never shortens what you pay for. After the grace period the account goes read-only until it is renewed.
5. Payment
- You can pay online by card, UPI or netbanking through our payment gateway, or by bank transfer against a quotation. Either way a numbered tax invoice is issued when the payment is recorded.
- Card and bank credentials are handled by the payment gateway. We never see or store them.
- Subscriptions do not auto-renew and we hold no payment mandate: each period is paid deliberately by you.
- Refunds and cancellation are covered by our Refunds & Cancellation Policy, which forms part of these terms.
6. Your data is yours
- Everything you or your people enter — masters, transactions, documents, attendance, payroll, the ledger — remains your property. We claim no ownership of it.
- You grant us only the licence needed to run the service for you: to store, process, back up and display your data, and to support you when you ask.
- We do not sell your data, and we do not use it to advertise to anyone.
- You can export your data from the product at any time while your account is active or read-only.
- Support access is visible to you. If our staff enter your workspace to help, that access is written into your own Changes log, and anything changed while they are in there is marked as done via support.
7. Acceptable use
You agree not to:
- break the law with the service, or use it to store unlawful content;
- attempt to reach another company's data, probe or bypass access controls, or interfere with the service for others;
- resell, rent or white-label the service without our written agreement;
- copy, decompile or reverse-engineer the software, or use it to build a competing product;
- upload malware, or automate the service in a way that degrades it for other customers.
We may suspend an account that is doing any of these, or that has an unpaid balance well past its grace period. Where we can, we will warn you first and give you a chance to put it right.
8. Employee and third-party data
The product holds records about real people: your workers and staff, and the contacts at your customers and suppliers. For that data you are the controller and we are the processor — you decide what goes in and why, and we process it on your instructions to run the service. You are responsible for having a lawful basis for it, for telling your people what you record, and for honouring their rights. We help: see our Privacy Policy.
Attendance terminals send us an enrolment number and a timestamp. We do not receive, request or store biometric templates — no fingerprints, no face data.
9. Availability, support and changes
- We aim to keep the service available around the clock and we monitor it, but we do not currently offer a contractual uptime guarantee. If you need one, talk to us before you buy.
- Planned maintenance is scheduled outside Indian factory hours wherever possible.
- Support is by WhatsApp, phone and email at akshat.sajwan12@gmail.com, during business hours, and is included in the subscription.
- We back the database up regularly. Backups are for disaster recovery; they are not a substitute for your own exports.
10. AI features
Some features use an AI model — reading a scanned bill, drafting a maintenance checklist or a root-cause note, matching a bank statement, answering questions about your own data. They follow one rule throughout: the AI drafts, a person signs. Nothing an AI produces is posted to your books or your stock without a human confirming it. AI output can be wrong; check it as you would a junior colleague's work. Data sent for these features is processed by our AI provider under contract and is not used to train public models.
11. Warranties and liability
The service is provided as is. To the extent the law allows, we disclaim implied warranties of merchantability and fitness for a particular purpose, and we do not warrant that the service will be uninterrupted or error-free.
To the extent the law allows, neither party is liable for indirect or consequential loss, loss of profit, loss of production, or loss of goodwill. Our total liability for any claim is limited to the fees you paid us in the twelve months before the event giving rise to it. Nothing here limits liability that cannot be limited by law, including for fraud or wilful misconduct.
You will indemnify us against claims arising from your unlawful use of the service or from data you put into it that you had no right to.
12. Term, termination, and what happens to your data
- These terms run for as long as you use the service.
- You may stop at any time — see the Refunds & Cancellation Policy.
- We may terminate for a serious or repeated breach of these terms, or for non-payment well past the grace period, after telling you.
- On termination your data is kept for 90 days so you can export it or change your mind. Ask us in that window and we will export it for you. After 90 days it is permanently deleted, backups included, on the ordinary backup expiry cycle.
13. Changes, governing law and contact
We may update these terms. Material changes will be notified inside the product or by email at least 30 days before they take effect; continuing to use the service after that is acceptance. The version on this page is always the current one, with the date it last changed at the top.
These terms are governed by the laws of India, and the courts at our registered office in India have exclusive jurisdiction.
